What four founders learned registering a holding company in Nepal

Last updated

When four friends decide to launch several technology and media ventures in Nepal, the default instinct is to register separate private limited companies, or to run everything on informal partnerships. We decided early to build a formal holding company under Nepal's Company Act 2063.

Registering a holding entity means navigating specific guidance from the Office of the Company Registrar and the Inland Revenue Department. It demands a clear memorandum and articles of association that explicitly authorise holding equity, managing subsidiaries, and providing shared technical infrastructure.

Why the structure is worth the paperwork

Centralising engineering, brand identity, legal compliance, and financial administration lets each venture operate with the speed of an independent startup while drawing on shared institutional strength.

A single registered holding house also creates transparency for outside partners and institutional clients. When partners collaborate with us on high-scale digital platforms, they know they are working with an established corporate entity with verified fiscal governance.

It takes discipline, paperwork, and patience. But it builds a foundation designed to outlive any single product cycle.
